In the absence of a written agreement specifying otherwise, all work product remains the property of Beach City Solutions until payment is received in full, at which point ownership transfers to the client as specified in the applicable agreement.

3. Professional Services

3.1 Service Agreements

All professional services provided by Beach City Solutions are subject to a separate written Service Agreement, Statement of Work, or Proposal/Contract executed by both parties. These Terms govern your use of the Site and provide general terms; specific project terms are governed by the applicable service agreement.

3.2 No Guarantee of Results

While we work diligently to deliver excellent results, Beach City Solutions cannot guarantee specific outcomes such as search engine rankings, traffic levels, revenue increases, or app store placement. Digital marketing and development results depend on many factors outside our control, including algorithm changes, competitive landscape, and client implementation of our recommendations.

3.3 Client Responsibilities

Clients are responsible for providing accurate and complete information needed to perform services, obtaining all necessary rights and permissions for client-provided materials, timely review and approval of deliverables, and payment of invoices per agreed payment terms.

4. Payment Terms

Payment terms are specified in each project's Service Agreement. General terms include:

Project retainers and deposits are due prior to work commencing
Invoices are due within 15 days of issuance unless otherwise agreed
Late payments may incur a 1.5% monthly finance charge
Work may be paused for accounts more than 30 days past due
All fees are in U.S. dollars unless otherwise specified

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged in the course of the engagement. This includes business strategies, financial information, customer data, and technical details. This obligation survives termination of our engagement and is subject to any Non-Disclosure Agreement executed between the parties.

Any dispute arising out of or in connection with these Terms or our services shall first be subject to good-faith negotiation between the parties. If not resolved within 30 days, disputes shall be submitted to binding arbitration in Orange County, California, under the rules of the American Arbitration Association, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction in Orange County, California.

10. Termination

We reserve the right to terminate or suspend your access to the Site, with or without notice, for any reason, including if we believe you have violated these Terms. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
